Caisse populaire acadienne ltée (UNI Financial Cooperation) is a federally incorporated credit union governed by the Bank Act of Canada since July 1, 2016, as well as by numerous regulatory bodies governing Canadian banks.
UNI is committed to remaining an industry leader in these times of unprecedented change and is seeking specific skills from certain members of its Board of Directors to ensure the proper functioning of its financial and other activities.
Its objective is to seek candidates with a range of knowledge that will enable its board to function effectively and meet the obligations required by the regulatory bodies governing its activities. In contrast to the normal electoral process, these candidates will be proposed to members at the Annual General Meeting in the spring of 2024.
Candidate selection process
As a member of UNI's Board of Directors, you will also sit on some of its subsidiaries Board of Directors, including Acadia Life, which provides life and disability insurance.
In order to achieve the goals outlined in UNI's strategic plan and to enrich the existing skills and qualifications of its Board of Directors, UNI is seeking candidates with a combination of certain skills and abilities, in addition to having been a UNI member since at least December 31, 2022, as stipulated in the by-laws online: www.uni.ca/reglements-administratifs (in French only).
The following general skills and abilities are sought:
- ability to communicate effectively and convey the area of expertise when communicating
- board experience
- board governance
- sound judgment and ability to work as part of a team
In 2024, UNI is seeking to fill two (2) positions for candidates with expertise in any of the following areas:
- finance, with an accounting designation
- information technology and data management, particularly in the fields of transformation and IT
- business development and expansion
- insurance and financial services
In terms of specific area of expertise, candidates must be able to demonstrate a combination of experience and education in their field of expertise:
- enabling them to effectively question UNI executives on complex issues in their field of specialization
- hold the ICD.D designation from the Institute of Corporate Directors is an asset
Term: Up to a maximum of three (3)-year term
Commitment and compensation
Candidates for the UNI Board of Directors must be willing to devote the time and effort necessary to fulfil the responsibilities of Director and Board member. The Board meets at least four (4) times a year, as required by the by-laws, and numerous special meetings may be held depending on circumstances. You will also be required to sit on a number of Board committees (usually a minimum of two  committees) and attend various training courses related to your duties.
Board members receive an annual stipend, as well as an allowance for attending meetings of the Board and its committees, in accordance with the compensation schedule adopted by UNI members. Applications will be reviewed beginning February 15, 2024. Candidates will be required to complete a number of documents following receipt of their application to ensure compliance with the guidelines of the Office of the Superintendent of Financial Institutions (OSFI). They will also be required to undergo an interview with an external consultant retained by UNI to ensure the transparency and objectivity of the process. The consultant will be required to make recommendations to UNI regarding candidates who meet the requirements.
